These Membership Terms and Conditions (“Terms”) constitute a binding legal agreement between you (“Member,” “you,” or “your”) and Member House Inc., doing business as Musly Club (“Musly,” “we,” “us,” or “our”). By applying for, accepting, or continuing membership in Musly Club (“Membership”), you agree to comply with and be bound by these Terms.
Definitions
“Member” means any current, past, or approved individual who has applied for, been admitted to, or maintained a Musly account or membership.“Unauthorized Group” means any WhatsApp, Telegram, Slack, or other digital or in-person community consisting of Musly members not officially owned and controlled by Musly.“Liquidated Damages” means a pre-agreed sum payable to Musly for breaches described in Section 6, set at $30,000 USD per violation.“Events” means all Musly-organized dinners, gatherings, or in-person meetups.
1. Acceptance of Terms
By creating an account and using Musly, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Musly and Member House inc.
2. Eligibility
You must be at least 18 years old to create an account on Musly and use the service. By creating an account, you represent and warrant that you meet this age requirement.
Membership is selective and subject to approval at Musly’s sole discretion.
Membership is personal, non-transferable, and may not be sold or assigned.
Musly reserves the right to decline applications without explanation.
3. User Conduct and Content
Musly is committed to providing a safe and respectful environment for all users. As a user, you agree to the following:
Prohibited Content: You will not post, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Respectful Behavior: You will treat all users with respect and will not engage in any behavior that is abusive, harassing, or otherwise harmful to others.
No Tolerance Policy: Musly has a zero-tolerance policy for objectionable content and abusive behavior. Any user found violating this policy may have their account terminated immediately and may be reported to relevant authorities if necessary.
4. Account Security
You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to notify Musly immediately of any unauthorized use of your account.
5. Termination
Musly reserves the right to terminate or suspend your account at any time, with or without notice, at will without any reason provided or if you violate these Terms or engage in any behavior that is harmful to the Musly community.

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
7. Disclaimers
Musly is provided "as is" and "as available" without any warranties of any kind. We do not guarantee the accuracy, completeness, or usefulness of any content provided through Musly.
8. Limitation of Liability
In no event shall Musly be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Musly.
Cap on Liability. Musly’s maximum aggregate liability to any member for any claim shall not exceed the total membership fees paid by the member in the twelve (12) months preceding the claim.
9. Changes to the Terms
We may update these Terms from time to time. We will notify you of any significant changes by posting the new Terms on Musly. Your continued use of Musly after such changes indicates your acceptance of the new Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles.
Waiver of Class Actions. Members waive any right to participate in a class, collective, or representative action against Musly.

Intellectual Property & Brand Protection“Musly” and all related logos, marks, and content are proprietary to Musly.Members may not use Musly’s name, brand, or likeness for personal or commercial purposes without express written consent.Unauthorized use of Musly’s brand, including on social media or external communities, is strictly prohibited and subject to enforcement.

Membership is by application and subject to approval by Musly at its sole discretion.Admission is selective and based on criteria including, but not limited to, professional background, character, and alignment with Musly’s community standards.Musly reserves the right to decline applications without explanation.Membership is personal, non-transferable, and may not be assigned or sold.
Membership Fees & Payments4.1
All membership fees (annual, monthly, or otherwise) are non-refundable once paid.
Failure to pay fees when due may result in suspension or termination.
Musly reserves the right to adjust fees; continued membership after notice constitutes acceptance.
Founding or promotional rates may be time-limited and subject to change.
Digital Platform & App Usage
Musly grants Members a limited, non-transferable, revocable license to use the Musly app.
Members shall not misuse the platform, including scraping data, spamming, impersonation, or unauthorized access.
Indemnification
You agree to indemnify, defend, and hold harmless Musly, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your membership, conduct, or violation of these Terms.
Unauthorized Groups, Poaching Members, & Misuse of Membership Data
1. Prohibited Conduct
Members shall not, without Musly’s prior written consent:Create, administer, or promote any group (including but not limited to WhatsApp, Telegram, Slack, or other digital platforms) consisting of Musly members that is not officially owned and controlled by Musly (“Unauthorized Group”);Solicit, recruit, or “poach” Musly members for participation in any external group, organization, community, or event not expressly approved by Musly;Use Musly’s membership data, name, brand, or identity for personal, commercial, or competitive purposes.
2. Liquidated Damages
You acknowledge and agree that any violation of this Section would cause Musly immediate and irreparable harm that is difficult to quantify. Therefore, as a genuine pre-estimate of damages and not as a penalty, you agree to pay Musly liquidated damages of thirty thousand U.S. dollars (USD $30,000) for each violation. This obligation is in addition to Musly’s right to seek injunctive relief, actual damages, and recovery of attorneys’ fees and costs.If any court determines that this liquidated damages provision is unenforceable, Musly retains the right to pursue actual damages and all other remedies available at law or in equity.
3. Enforcement
Musly reserves the right to immediately suspend or terminate any membership found to be in violation of this Section and to take all legal action necessary to protect its brand, membership network, and proprietary data, including seeking injunctive relief, monetary damages, and recovery of attorneys’ fees and costs.All Musly-branded groups, including but not limited to WhatsApp, Slack, Telegram, or any other third-party communication platforms, are the exclusive property of Musly.
Members (includes: past, current, future, and ex-members) are strictly prohibited from:
- Creating, administering, or promoting any unofficial Musly-related groups or communities outside of Musly’s official channels;
- Creating private groups consisting of Musly members without Musly’s prior written consent and transfer of ownership to Musly;
- Soliciting, “poaching,” or attempting to recruit Musly members into external groups, communities, businesses, or events without Musly’s written approval. Any such activity constitutes a material breach of these Terms.
As a condition of membership, you expressly agree that such a breach will result in liquidated damages in the amount of thirty thousand U.S. dollars (USD $30,000), payable to Musly immediately upon demand. By agreeing to these terms, You authorize Musly to charge the payment method on file for any such liquidated damages. If the charge is declined, you remain personally liable and agree to remit full payment within five (5) business days of notice, in addition to covering Musly’s costs of collection, including attorneys’ fees.
This is in addition to Musly’s right to terminate your membership and pursue injunctive relief, further damages, and recovery of legal fees.
By accepting membership, you acknowledge and agree that unauthorized use of Musly’s name, brand, membership network, or member relationships exposes you to immediate financial liability and legal proceedings to the fullest extent permitted by law.
Events, Dinners, and Gatherings
Musly organizes curated events exclusively for members. Attendance is subject to RSVP approval and payment (where applicable).Tickets or RSVPs may not be transferred or resold without Musly’s prior written consent.Members and guests attend at their own risk. Musly disclaims all liability for accidents, injuries, or disputes arising at events, except where caused by Musly’s gross negligence or willful misconduct.Musly reserves the right to refuse entry to any member or guest at its discretion.
Membership Fees & Payments

Acceptance
By clicking "I Agree" or using Musly, you acknowledge that you have read, understood, and agree to these Terms and Conditions of Use.
Amendments & Continuing Obligations
Musly may update these Terms at any time. Continued membership constitutes acceptance of the revised Terms.
Certain obligations under these Terms — including but not limited to confidentiality, non-solicitation, unauthorized groups, misuse of membership data, intellectual property, limitation of liability, indemnification, governing law, and dispute resolution — shall survive the expiration, cancellation, or termination of your Membership and remain binding upon you indefinitely.
End User License Agreement (EULA) for Musly

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Member House Inc., d/b/a “Musly Club” ("We," "Us," or "Our") for the use of the Musly mobile application ("App"). By accessing or using the App, You agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not use the App.
1. Acceptance of Terms By creating an account or otherwise using the App, You agree to comply with and be bound by this Agreement, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the App or to services provided by Musly.
2. License Musly grants You a non-exclusive, non-transferable, limited license to use the App in accordance with the terms of this Agreement.
3. User-Generated Content You may generate and share content, including but not limited to text, images, and messages ("User Content"). You are solely responsible for the content that You create, upload, or share on the App.
4. Prohibited Content and Conduct You agree not to upload, share, or promote any content that:
Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.
Promotes discrimination, hatred, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or age.
Contains false or misleading information, or engages in deceptive practices.
Violates any applicable laws, regulations, or third-party rights, including intellectual property rights.
5. No Tolerance for Objectionable Content or Abusive Users Musly has a zero-tolerance policy for objectionable content and abusive users. We reserve the right to remove any User Content that violates this Agreement or our Community Guidelines, and to suspend or terminate accounts that engage in abusive behavior.
6. Content Moderation Musly may monitor, review, and remove any User Content at its discretion. You understand that we are not obligated to monitor all User Content but may do so to ensure compliance with this Agreement and to protect our community.
7. Reporting Violations If You encounter content or behavior that violates this Agreement, You may report it through the reporting feature available in the App. Musly will review and take appropriate action in response to reports, which may include content removal, user warnings, or account suspension.
8. Account Suspension and Termination Musly reserves the right to suspend or terminate Your account without prior notice if You violate this Agreement or engage in any conduct that we deem harmful to the community or the integrity of the App.
9. Changes to the Agreement Musly reserves the right to modify this Agreement at any time. We will notify You of any changes by updating the "Last Updated" date at the top of this Agreement or through other means. Your continued use of the App after any changes signifies Your acceptance of the revised terms.
10. Termination of License This license is effective until terminated by either You or Musly. Your rights under this Agreement will terminate automatically without notice if You fail to comply with any terms of this Agreement. Upon termination, You must cease all use of the App and delete all copies of the App from Your devices.
11. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles.

Auto-Renewable Subscription Information
Subscription Terms:
Duration: Our subscription offers monthly access to Musly’s app where you can connect with other members, match, message, and explore].
Pricing: The subscription is priced at 150 per year, which will be charged to your account upon confirmation of purchase.
Subscription Policies:
Auto-Renewal: The subscription will automatically renew unless you turn off auto-renewal at least 24 hours before the current period ends. Your account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the selected package.
Managing Subscriptions: You can manage your subscription and turn off auto-renewal by going to your Account Settings after purchase.
Cancellation Policy:
Cancelling a Subscription: You can cancel your subscription anytime through your Account Settings in the App Store. Note that cancelling a subscription will disable auto-renewal, but the subscription will remain active until the end of the current billing period.

By subscribing, you agree to our Privacy Policy and Terms of Service above. These documents outline how we handle your personal information and the terms under which we provide our services.
Child Safety Statement
We take the safety of children on Google Play seriously and fully comply with Google Play’s Child Safety Standards. Our app is strictly intended for adult users aged 18 and over. We do not allow minors to create accounts, interact within the app, or access any of its content. Age verification is implemented during onboarding, and we maintain strong content moderation and user reporting protocols to prevent child exploitation, abuse, or any other harmful activity. We are committed to upholding a safe and respectful environment in full accordance with Google Play’s policies.
